CueSync - Terms of Service

1. Acceptance of Terms

By purchasing, downloading, installing, or using CueSync (the “Software”), you agree to be bound by these Terms of Service. If you do not agree with these terms, you must not use the Software.

2. Description of the Software

CueSync is a macOS application designed to synchronize musical scores with audiovisual content, used in film scoring, recording sessions, rehearsals, and live orchestral performances.

3. Eligibility and Permitted Use

The Software may be used by individuals, companies, studios, orchestras, and any professional or non-professional users, provided that use is lawful. There are no restrictions based on industry or commercial use.

4. License Grant

The Developer grants you a non-exclusive, non-transferable, non-sublicensable license to use the Software.

• The license is granted to a single user only.
• The license may only be used on one Mac computer at a time.
• The license is perpetual for the version purchased.
• The license does not include ownership rights over the Software.

5. License Activation and Verification

The Software may require an internet connection to validate the license via third-party services, including Lemon Squeezy. If the license cannot be verified, the Software may not function properly or may be restricted.

6. Updates and Maintenance

The Developer may provide updates, fixes, or improvements while the product is actively maintained. However, there is no obligation to provide updates or continue development indefinitely.

7. Discontinuation

The Developer may discontinue the Software at any time. In such case:

• You retain the right to use the last version you lawfully obtained.
• No obligation exists to provide future updates or support.
• No liability is assumed for future incompatibility with macOS or third-party systems.

8. Restrictions

You agree not to:

• Share, sell, or transfer your license.
• Reverse engineer, decompile, or modify the Software.
• Bypass or attempt to bypass license verification systems.
• Use the Software for unlawful purposes.

Personal backup copies of the Software are permitted.

9. Payments

All payments are processed through Lemon Squeezy, which acts as the payment processor and/or merchant of record.

10. Refund Policy

All sales of digital products are generally final. Refunds may only be issued where required by applicable law or in exceptional cases at the Developer’s discretion.

11. Intellectual Property

All rights, title, and interest in CueSync, including software, design, branding, and documentation, remain the property of the Developer. No rights are transferred except for the limited license granted herein.

12. Disclaimer of Warranty

The Software is provided “as is” and “as available”, without warranties of any kind.

The Developer does not guarantee that the Software will be error-free, uninterrupted, or compatible with future versions of macOS or hardware.

13. Limitation of Liability

To the maximum extent permitted by law, the Developer shall not be liable for any:

• Loss of data or corruption of files
• Loss of profits or business interruption
• Indirect, incidental, or consequential damages
• Incompatibility with future software or operating systems

Total liability shall in no case exceed the amount paid for the license.

14. Privacy

The Software may process minimal personal data necessary for license validation through Lemon Squeezy. For more information, please refer to the Privacy Policy.

15. Changes to Terms

The Developer reserves the right to modify these Terms at any time. Continued use of the Software after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Spain. Any disputes shall be subject to the jurisdiction of the courts of Toledo, Spain, unless otherwise required by mandatory law.
